These Terms of Use govern your access to and use of Koda software, Koda Softwares desktop applications, visual dependency engines, and developer portals.

Zero Claims on Your IPYou retain complete, exclusive, and unencumbered ownership of all source code, software projects, scripts, notebooks, and digital artifacts you create, view, or compile using Koda Softwares. Koda asserts zero intellectual property rights over your work.
1. Acceptance of Terms
By downloading, installing, accessing, or using Koda Softwares, our websites (koda.dev), or related developer tools provided by Koda ("we", "our", or "us"), you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Use.
If you are using the software on behalf of a company, organization, or educational institution, you represent and warrant that you have full legal authority to bind that entity to this agreement.
2. Software License Grant
Subject to your compliance with these Terms, Koda grants you a non-exclusive, worldwide, revocable license to:
- Install and run binary copies of Koda Softwares on personal, developer, or enterprise computer workstations.
- Utilize the visual graph dependency viewer, split Git diff inspector, and computational notebook engine for commercial, educational, or open-source software development.
- Distribute standalone software executables and libraries created using the software without royalty or licensing fees owed to Koda.
3. Developer Ownership & Intellectual Property
Koda strictly respects the intellectual property rights of software engineers:
Your Code is Exclusively Yours
You retain all copyright, patent, trademark, and trade secret rights in any software code, configuration, database schemas, text, or documentation you develop using our tools. Koda does not acquire any ownership interest, license, or right of inspection in your software projects.
4. Acceptable Use Guidelines
You agree not to use Koda software or services to:
- Reverse engineer, decompile, or disassemble proprietary components of Koda Softwares, except to the extent permitted by applicable open-source licenses.
- Bypass, disable, or tamper with software licensing mechanisms or security controls.
- Distribute malicious software, rootkits, trojans, or unauthorized surveillance tooling.
- Conduct denial-of-service attacks or disrupt package distribution infrastructure.
5. Local Execution Architecture
Koda Softwares is engineered as a local-first workstation environment. All project AST parsing, symbol indexing, diff formatting, and computational notebook cells execute locally on your machine. You are solely responsible for backing up your local files, repositories, and configurations.
6. Third-Party Services & Registries
Koda Softwares includes seamless integrations with third-party software repositories, including Git hosts (GitHub, GitLab, Bitbucket) and package registries (PyPI, npm, Packagist). Your interactions with these external services are subject to their respective terms of service and privacy agreements.
7. Optional Third-Party Developer API Terms
If you configure an API key for third-party AI model providers (e.g., Anthropic, OpenAI, Google Gemini):
- Your API keys are encrypted and stored in your operating system's local secure credential store.
- Prompt transmissions and completions travel directly between your machine and your designated provider endpoint.
- Koda does not log, proxy, inspect, or retain your AI prompts, completions, or code context.
8. Disclaimers & Warranties
Provided "As Is" Without Warranty
Koda software is provided on an "AS IS" and "AS AVAILABLE" basis, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Koda, its maintainers, or contributors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, code integrity, or business interruption, arising out of the use or inability to use the software.
10. Termination & Governing Law
These Terms remain effective until terminated. You may terminate at any time by ceasing all use and deleting installed copies of the software. We may terminate your license upon material breach of these terms.
